Terms and Conditions
Note: This is a courtesy translation. The German version ("Allgemeine Geschäftsbedingungen" / "AGB") is the legally binding version. In case of any discrepancy, the German text prevails. These Terms are governed by German law.
1. Scope
1.1 These Terms and Conditions ("Terms") apply to all contracts between Leah Klemm ("Provider"), Seckenheimer Str. 89, 68165 Mannheim, Germany, and her customers ("Client" or "Participant") for the provision of:
-
systemic counseling,
-
individual or group yoga sessions,
-
sound massages,
-
workshops,
-
retreats.
1.2 Any deviating, conflicting, or supplementary terms and conditions of the Client/Participant shall not become part of the contract unless the Provider expressly agrees to their validity in writing.
2. Conclusion of Contract and Booking
2.1 The presentation of offers on the website does not constitute a binding offer by the Provider, but rather a non-binding invitation to book.
2.2 A contract is concluded when the Client/Participant books an appointment via the provided booking system (Google Calendar) or submits a booking request by email, and the Provider confirms this expressly (e.g., by email) or by performing the service.
2.3 For workshops and retreats with a limited number of participants, bookings are processed in the order received until the maximum number of participants is reached.
3. Systemic Counseling – Important Notice
3.1 The systemic counseling offered is a format for reflection, clarification, and support with personal, professional, or relationship-related concerns. It is based on methods of systemic practice.
3.2 Systemic counseling expressly does not replace psychotherapy, medical or other healthcare treatment, or psychological or psychiatric diagnosis. The Provider is not a licensed psychotherapist, physician, or licensed alternative practitioner ("Heilpraktiker") for psychotherapy. Counseling is currently provided as part of ongoing training to become a systemic counselor.
3.3 No promise of healing is made, and no guarantee is given as to a particular outcome of the counseling. The counseling does not constitute treatment in a medical or psychotherapeutic sense.
3.4 Clients experiencing acute mental illness, an acute crisis, or suicidal thoughts are expressly asked to contact medical, psychotherapeutic, or psychiatric professionals, the on-call medical service (116 117 in Germany), a crisis helpline (e.g., "Telefonseelsorge" at 0800 111 0 111 or 0800 111 0 222 in Germany), or, in an emergency, emergency services (112 in Germany). The Provider is not equipped to provide acute crisis intervention or emergency care.
3.5 It is the Client's own responsibility to understand the counseling for what it is — supportive, non-medical guidance — and to seek additional specialist medical or psychotherapeutic help where needed.
4. Yoga, Workshops, and Retreats
4.1 Participation in yoga sessions, workshops, and retreats is at the Participant's own responsibility. Participants confirm that they are physically able to take part in the physical exercises. In the event of health restrictions, injuries, pregnancy, or pre-existing conditions, the Provider must be informed before participation begins.
4.2 Participants are asked to seek medical advice in advance if in doubt as to whether participation in the physical exercises is suitable for them.
4.3 Any exercise may be stopped or modified at any time. There is no obligation to perform exercises that make participants feel uncomfortable or overwhelmed.
4.4 For retreats that include accommodation or meals, the exact services (accommodation, meals, program) are described separately in the respective listing. This description becomes part of the contract.
4a. Sound Massage
4a.1 Sound massage is a body-based relaxation method using singing bowls. It does not constitute medical treatment, physiotherapy, or healing treatment, and does not replace medical diagnosis or therapy.
4a.2 Participants are required to inform the Provider before the start of a sound massage of any existing health conditions, in particular: pregnancy, pacemakers or other electronic implants, epilepsy, acute inflammation, thrombosis, or recent surgery or fractures in the area to be treated. In these cases, medical advice should be sought in advance as to whether participation is safe.
4a.3 Clause 3.4 (referral to professional help in acute mental health crises) applies accordingly to sound massage.
5. Prices and Payment
5.1 The prices stated on the website or in the individual offer description at the time of booking apply.
5.2 As the Provider is a small business owner within the meaning of Section 19 of the German VAT Act (UStG) ("Kleinunternehmerregelung"), no VAT is charged or shown.
5.3 Billing is done by invoice, sent by email. Unless otherwise agreed, the invoice is due for payment in full within 14 days of the invoice date.
5.4 For workshops and retreats, the Provider may require a deposit to secure a binding reservation. The remaining balance is due as specified in the respective listing.
6. Cancellation
Counseling appointments and sound massage (individual sessions): 6.1 Appointments may be cancelled or rescheduled free of charge up to 7 days before the scheduled appointment. In the case of later cancellations or non-attendance ("no-show"), the Provider may charge up to 100% of the agreed fee.
Workshops and retreats: 6.2 In the event of cancellation up to 14 days before the start of the workshop or retreat, any payment already made (or deposit) will be refunded in full. In the case of later cancellation or non-attendance, the right to a refund is forfeited unless a substitute participant is provided.
6.3 The Provider reserves the right to deviate from the above provisions in individual cases as a gesture of goodwill.
6.4 If the Provider has to cancel an appointment, workshop, or retreat for reasons within her own sphere (e.g., illness), any payments already made will be refunded in full or, at the Participant's choice, an alternative date will be offered.
7. Right of Withdrawal for Consumers
7.1 If a Client concludes the contract as a consumer exclusively via means of distance communication (e.g., online booking, email), they generally have a statutory right of withdrawal pursuant to Section 312g of the German Civil Code (BGB).
Withdrawal Notice
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract was concluded.
To exercise your right of withdrawal, you must inform me (Leah Klemm, Seckenheimer Str. 89, 68165 Mannheim, Germany, email: leahklemm.studio@gmail.com) of your decision to withdraw from this contract by means of a clear statement (e.g., by mail or email). To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Exceptions to the Right of Withdrawal:
7.2 The right of withdrawal does not apply to contracts for the provision of services related to leisure activities where the contract provides for a specific date or period of performance (Section 312g(2) No. 9 BGB). This applies in particular to workshops and retreats with a fixed date.
7.3 The right of withdrawal expires prematurely for services if the Provider has fully performed the service and only began performance after the Client expressly consented to the Provider beginning performance before the end of the withdrawal period, and the Client has acknowledged that they lose their right of withdrawal upon full performance as a result of giving such consent.
7.4 For counseling appointments and sound massages scheduled to take place at short notice (within the 14-day withdrawal period), the Provider will obtain the express consent referred to in Clause 7.3 in text form prior to the appointment (e.g., by email, WhatsApp, or a message via social media). If the Client provides this consent, the right of withdrawal expires upon full performance of the service — a later reclaim of the fee for sessions already conducted is then excluded.
8. Confidentiality
8.1 All information shared during counseling is treated by the Provider as strictly confidential and is not disclosed to third parties, unless statutory reporting or notification obligations require otherwise (e.g., in cases of acute risk to self or others).
8.2 The Provider is not bound by a statutory duty of confidentiality such as that applicable to licensed psychotherapists; however, she commits to handling all information received carefully and confidentially.
9. Liability
9.1 The Provider shall be liable without limitation for damages arising from injury to life, body, or health resulting from an intentional or negligent breach of duty, as well as for other damages resulting from an intentional or grossly negligent breach of duty by the Provider.
9.2 In the event of a slightly negligent breach of material contractual obligations ("Kardinalpflichten") — obligations whose fulfillment is essential for the proper performance of the contract and on whose observance the Client may regularly rely — the Provider's liability shall be limited to the foreseeable damage typical for this type of contract.
9.3 In all other respects, the Provider's liability for slightly negligent breaches of duty is excluded.
9.4 The above limitations of liability do not apply to claims under the German Product Liability Act.
9.5 For injuries arising in connection with a Participant's own responsible performance of yoga exercises (see Clause 4), the Provider is only liable in cases of intent or gross negligence, in particular in cases of improper instruction.
10. Use of Google Calendar
Google Calendar is used for scheduling appointments. By booking an appointment via this system, the Client agrees to the associated data processing. Further information can be found in the Privacy Policy.
11. Changes to Services and These Terms
The Provider reserves the right to amend her range of services as well as these Terms with effect for the future, insofar as this is necessary to adapt to changed legal or factual circumstances. Appointments, workshops, or retreats already booked remain unaffected by such changes.
12. Severability Clause
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
13. Applicable Law and Jurisdiction
13.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection provisions of the country in which the Client has their habitual residence remain unaffected.
13.2 If the Client is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from this contractual relationship shall be the Provider's place of business.
